MEMORANDUM
OF AGREEMENT
This agreement is made
this ___ day of ______________, 2003 by and between
___________________________ of
________________________ (hereafter Client) and
Towers of the Vineyards, Inc. and its associates
(hereafter Towers). Specifically:
Whereas Client desires
to begin a non profit corporation and desires to
complete federal and state requirements for such and Whereas
Towers and its associates have knowledge of the
state and federal procedures.
The parties agree that Towers will perform the
following document preparation:
1. Preparation of forms for incorporation at
the state level;
2. Obtaining forms for obtaining a tax
identification number;
3. Preparation of the 501 (c)(3) documents;
4. Preparation of corporate bylaws.
The parties agree that
Towers is not providing legal advice and Client may
seek legal advice from an attorney from Client’s
state at any stage of this process.
The fee for this service is $2000.00.plus
all state and federal fees.
Client will
return a signed copy of this Memorandum with an
initial deposit of $1000. 00. The balance is due
upon completion. The parties agree that the fee
covers an initial submission of the 501 (c)(3)
documents to the Internal Revenue Service. If
additional documents are required by the IRS, the
parties agree that there will be an additional
charge based upon the amount of documentation
required.
