MEMORANDUM
OF AGREEMENT
This agreement is made
this ___ day of ______________, 2005 by and between

_______________________________________________ (hereafter Client) and
Roslyn D. Morris. and its associates
.
Specifically:
Whereas Client desires
to begin a non profit corporation and desires to
complete federal and state requirements for such and
Whereas Roslyn Morris Esq. and its associates have knowledge of the
state and federal procedures.
The parties agree that Roslyn Morris Esq. will perform the
following document preparation:
1. Preparation of forms for incorporation at
the state level;
2. Obtaining forms for obtaining a tax
identification number;
3. Preparation of the 501 (c)(3) documents;
4. Preparation of corporate bylaws.
The fee for this service is $2000.00.plus
all state and federal fees.
Client will
return a signed copy of this Memorandum with an
initial deposit of $1000. 00. The balance is due
upon completion. The parties agree that the fee
covers an initial submission of the 501 (c)(3)
documents to the Internal Revenue Service. If
additional documents are required by the IRS, the
parties agree that there will be an additional
charge based upon the amount of documentation
required.
